Terms of Service

By registering for and/or using the Service in any manner, you agree to these Terms and all other operating rules, policies, and procedures that may be published by AuditFlow from time to time. AuditFlow reserves the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

You represent and warrant that you are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

If you are using the Service on behalf of a company, entity, or organization, you represent and warrant that you are an authorized representative of such company, entity, or organization with the authority to bind it to these Terms.

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify AuditFlow immediately of any unauthorized use of your account or any other breach of security. AuditFlow will not be liable for any loss or damage arising from your failure to comply with this section.

AuditFlow offers various subscription plans. By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. Payments will be charged on the day you subscribe and will cover the use of the Service for the subscription period indicated.

Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew, and you authorize us to charge your payment method for the renewal term.

All fees are exclusive of taxes, which we may collect from you. You are responsible for paying any taxes applicable to your use of the Service.

The Service allows you to create, upload, store, and share content, including financial data, reports, and other materials ('User Content'). You retain all rights in and to your User Content, and you are responsible for your User Content.

By uploading User Content, you grant AuditFlow a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise use the User Content for the purposes of operating, developing, providing, and improving the Service.

You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit; and that your User Content, and the use of your User Content as contemplated by these Terms, does not and will not violate any rights of any third party.

You agree not to engage in any of the following prohibited activities:

• Use the Service for any illegal purpose or in violation of any laws or regulations
• Violate or infringe other people's intellectual property, privacy, publicity, or other legal rights
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to the Service or other users' accounts
• Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
• Use the Service to collect or harvest any personally identifiable information, including account names, from the Service
• Use the Service for any commercial solicitation purposes without our prior written consent

The Service and its original content, features, and functionality are and will remain the exclusive property of AuditFlow and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AuditFlow.

AuditFlow may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

In no event shall AuditFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
